Welcome to Euverify.com! Euverify Ltd and its affiliates (“Euverify,” Euverify.com “we,” “us,” or “our”) provide www.euverify.com as well as other websites we operate (collectively, the “Websites”) to you, subject to these Website Terms of Use (“Terms”), which may be updated by us from time to time pursuant to Section 2 herein.
By accessing and using the Websites, you accept and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you should not access or use the Websites. In addition, when accessing the Websites, you shall be subject to any posted guidelines or rules applicable to the Websites, including, without limitation, the Acceptable Use Policy and any other policies or terms of use, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into these Terms.
Your use of Euverify.com Services signifies your acceptance of these Terms, forming a legally binding agreement between you and Euverify Ltd. Euverify Ltd is a company registered in England, with its registered office at:

If you are using the services on behalf of an organization, such as your employer or company, you confirm that you have the authority to bind that entity to these Terms. In such cases, references to “you,” “your,” or “customer” will apply to that entity.
If you register using an email address associated with your employer or organization, you are considered an authorized representative or agent of that entity.
Please ensure you fully review these Terms. By registering, accessing, browsing, or using Euverify.com Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please discontinue using the services immediately.
1. Definitions
- “Euverify.com or Euverify”refers to our company, including its subsidiaries, affiliates, and any entity that controls, is controlled by, or is under common control with Euverify Ltd.
- “Euverify Services”encompasses the Website, Content, Materials, Platform, and all other content, services, products, and Features available through the Platform.
- “Client” or “User”refers to any individual or entity that accesses, registers, or uses the Euverify.com Services, either as an individual or on behalf of an entity.
- “Client Data”refers to all data and documents (such as images, spreadsheets, text files, etc.) and other digital information subject to the Platform or uploaded by the Client. Euverify.com acts as a “processor” (as defined in the Privacy Notice) for this data. Client Data shall not include Sensitive Information.
- “Account”means the primary method for accessing and using the Euverify.com Services, which is subject to the payment of a Fee as specified in the selected Plan.
- “Credentials”refer to all usernames, passwords, and other access credentials created by or assigned to the Client and its designated Users for use of the Euverify.com Services.
- “Feature”refers to a function or set of functions that provides a specific capability within the Euverify.com Services, as determined by Euverify.com, and may be subject to Supplemental Terms.
- “Fee”denotes the required payment for using Euverify.com Services through an activated Account.
- “Plan”refers to the different criteria related to usage, functionality, and cost of a specific Euverify.com Service, which determines the applicable Fee.
- “Plan Term”means the duration of the Client’s use of Euverify.com Services, starting from the date of payment for the selected Plan and ending upon Plan expiration.
- “Renewal Date”refers to the date on which the Client’s Plan will automatically renew, either on an annual or monthly basis, depending on the chosen Plan.
- “Feedback”includes any comments, bug reports, suggestions, or modifications for the Euverify.com Services provided by a Client or User to Euverify.com.
- “Master Terms”refers to the primary terms and conditions that apply to all Clients using the Euverify.com Services.
- “Sensitive Information”refers to data that is confidential, private, or personal in nature, including but not limited to personally identifiable information, login credentials, or other information that, if compromised, could result in harm or unauthorized access.
- “Supplemental Terms”refers to additional terms and conditions that may apply to specific features, functionalities, or services provided by Euverify.com.
- “Data Processing Addendum (DPA)”is a separate agreement that governs the processing of personal data in compliance with applicable data protection laws and regulations when using Euverify.com Services.
- “Privacy Notice”refers to the policy available at https://euverify.com/privacy-policy/ that outlines how Euverify.com collects, uses, stores, and protects Client personal information.
- “Terms” or “Terms & Conditions”collectively refers to these Terms of Service, including the Master Terms, Supplemental Terms, Data Processing Addendum (DPA), and Privacy Notice.
- “Content”refers to any text, images, graphics, videos, or other materials uploaded, posted, displayed, or transmitted by Clients through the Euverify.com Services.
- “Intellectual Property”refers to all patents, trademarks, copyrights, trade secrets, and other intellectual property rights associated with the Euverify.com Services and any related materials.
- “Authorized Representative”refers to an individual who has the legal authority to act on behalf of an entity, such as an employer or company, and bind that entity to these Terms.
- “Effective Date”refers to the date on which these Terms & Conditions become legally binding between Euverify.com and the Client.
Please note that these definitions are provided for clarity. In the event of any disputes or ambiguities in interpretation, the language and intent of the entire Terms & Conditions document will be used to resolve them.
2. Modification of Terms
Euverify.com reserves the right, at its sole discretion, to change, modify, add, or remove any portions of these Terms at any time. Notice of such changes may be provided through the Platform or the Euverify.com Services. By continuing to use the Euverify.com Services after any modifications are made, the Client indicates acceptance of the revised Terms.
3. Use of Euverify.com Services
Euverify.com is a software-as-a-service (SaaS) platform designed to help e-commerce sellers generate EU Declaration of Conformity and UKCA Declaration of Conformity certificates. We do not guarantee the accuracy, completeness, or timeliness of the data contained on or linked to our website. The information provided on Euverify.com is not intended to be, nor should it be considered, legal, regulatory, or compliance advice. Euverify.com is not liable for any claims, liabilities, losses, damages, costs, or expenses arising out of or in connection with the use of our services or these Terms and Conditions.
The Client acknowledges and agrees that they are solely responsible for the accuracy of all information and data provided when using the Euverify.com services, including but not limited to product details, compliance documentation, test reports, technical files, and risk assessments. Euverify.com merely provides the tools to assist in the creation of self-certifying compliance documents and does not validate or verify the accuracy or completeness of the documents generated by the Client.
The Client confirms that the self-declaration of conformity requires the truthful and accurate representation of their product’s compliance with applicable standards. By submitting such declarations, the Client assumes full responsibility for compliance and the accuracy of the information provided. Euverify.com is not responsible for any variances or inaccuracies that may result from the information provided by the Client.
Euverify.com accepts no responsibility for errors, omissions, or inaccuracies in any compliance documentation generated through the platform. It is the Client’s sole responsibility to ensure the accuracy of all information provided to regulatory authorities.
Client Responsibilities: The Client shall be solely responsible for the following:
- Ensuring all compliance documentation is accurate, up-to-date, and readily available for review by regulatory authorities as required.
- Evaluating and verifying the accuracy of the documents generated through the Euverify.com software.
- Assuming full responsibility for the decisions made based on the compliance documents generated by the software.
- Ensuring ongoing compliance with local and international regulations by maintaining proper internal controls and monitoring product compliance over time.
Notified Body Involvement: For certain high-risk products, a Notified Body may be required to perform testing or review compliance documentation. While most products allow for self-declaration of conformity, a Notified Body’s involvement is mandatory for:
- Medical devices (e.g., implants, surgical instruments)
- Personal protective equipment (e.g., helmets, safety goggles)
- Machinery (e.g., industrial robots, construction equipment)
- Pressure equipment (e.g., boilers, gas cylinders)
- Pyrotechnics (e.g., fireworks, flares)
Please note that Notified Body involvement is only required if mandated by the specific product regulations. Euverify.com does not perform these evaluations and is not responsible for any non-compliance resulting from the lack of Notified Body involvement where required.
4.Technical Support: Euverify.com provides reasonable technical support to Clients and Users through the following options:
- Community & Knowledge Base– Accessible to all Users.
- Chat Support– Available to all Users via their Euverify.com Account.
- 3. Phone Support – Available to Users on select Plans, who may request a call back through their Euverify.com Account.
- For login issues or if you do not have an Account, you can contact us atinfo@euverify.com.
For Euverify.com Services purchased through a Reseller, primary technical support will be provided by the Reseller, not directly by Euverify.com.
By using Euverify.com, the Client agrees to these terms and takes full responsibility for the accuracy and compliance of the documents generated through the platform.
5. Authorized Representative Services
Euverify Ltd provides Authorized Representative (AR) services to assist non-EU manufacturers in ensuring compliance with EU product conformity legislation. These services include acting as a communication channel between manufacturers and EU market surveillance authorities for non-food products covered under specific EU Directives and Regulations.
Scope of Services
- Representation in the EU: Euverify Ltd serves as the designated Authorized Representative for non-EU manufacturers, facilitating compliance with EU regulatory requirements and serving as a point of contact for EU authorities.
- Technical Documentation Management: Manufacturers are required to upload all relevant compliance documentation to the Euverify platform. Euverify Ltd securely stores this documentation and provides it to market surveillance authorities upon request.
- Communication with Authorities: Euverify Ltd acts as the communication link between the manufacturer and EU regulatory authorities, ensuring smooth handling of compliance-related inquiries.
- EC REP Labeling: Euverify Ltd provides manufacturers with an EC REP label, which must be included on product packaging to indicate Authorized Representative compliance.
Manufacturer Responsibilities
- Regulatory Compliance: Manufacturers are solely responsible for ensuring their products comply with all applicable EU regulations and directives.
- Accurate Documentation: All relevant compliance documentation, including EC Declarations of Conformity, test reports, and risk assessments, must be uploaded to the Euverify platform and kept up-to-date.
- Product Labeling: Products must include the CE marking and required labels indicating Euverify Ltd as the Authorized Representative.
Exclusions
Euverify Ltd’s AR services do not cover:
- Products regulated under the Medical Devices Regulation, Pyrotechnic Products Directive, or ATEX Directive.
- Living organisms or medicines.
- Extended Producer Responsibility (EPR) obligations such as WEEE, packaging, and battery recycling.
Limitations of Liability
- Euverify Ltd does not validate or verify the accuracy or compliance of the documentation provided by the manufacturer. This responsibility lies solely with the manufacturer.
- Euverify Ltd disclaims responsibility for product safety, marketability, or functionality.
Confidentiality
Euverify Ltd maintains strict confidentiality of all documentation and information shared by the manufacturer, disclosing it only to EU authorities or as required by law.
6.Restrictions
When using Euverify.com Services, you must avoid any unlawful, unauthorized, or fraudulent activity. You are required to comply with all applicable laws, regulations, and third-party rights.
- Do not attempt to gain unauthorized access to Euverify.com Services, user accounts, computer systems, or networks, nor interfere with security or authentication measures.
- Refrain from reverse engineering, decompiling, disassembling, or attempting to extract the source code of any portion of the Euverify.com Services or related software.
- Do not modify, adapt, translate, or create derivative works based on Euverify.com Services, its content, or any part of it without prior written consent.
- Avoid reselling, sublicensing, leasing, lending, or commercially exploiting Euverify.com Services, or using them to provide services to third parties without explicit written permission.
- Refrain from uploading, posting, transmitting, or distributing any harmful, offensive, infringing, defamatory, or rights-violating content.
- Keep your Euverify.com account credentials confidential. Each account is for individual use only.
- Ensure that all content generated using Euverify.com Services, including certificates, labels and information, complies with applicable regulations and does not mislead consumers.
- Adhere to all relevant data protection and privacy laws when processing personal data through Euverify.com Services.
- Do not use the Euverify.com Services in ways that could disrupt, interfere with, or compromise the integrity, performance, or availability of the platform for other users.
- Avoid attempts to bypass any security features or access controls implemented by Euverify.com.
Non-compliance with these restrictions may lead to the termination of your access to the Euverify.com Services and could result in legal action or other penalties in accordance with applicable laws and regulations.
07. Euverify.com Responsibilities
Euverify.com agrees to the following responsibilities:
(a) Service Availability: Euverify.com will make its Services, Content, and Client Data available to the Client in accordance with these Terms.
(b) Support: Euverify.com will provide support for the Services as outlined in the previous sections without any additional charges.
(c) Service Uptime: Euverify.com will use commercially reasonable efforts to ensure that the Services are available 24 hours a day, 7 days a week, except in the following cases:
(i) Planned downtime, for which Euverify.com will provide advance notice.
(ii) Any unavailability due to circumstances beyond Euverify.com’s control, including but not limited to acts of God, government actions, natural disasters (e.g., floods, fires, earthquakes), civil unrest, acts of terror, pandemics, strikes, labor issues, failures of internet service providers, delays, or denial-of-service attacks.
Use of Sub-processors:
Euverify.com may engage Sub-processors to perform its Services. It will use commercially reasonable efforts to ensure that data transfers to these Sub-processors comply with the requirements applicable to the Client’s processing of Client Data. For details regarding data transfers and Sub-processors, please refer to Euverify.com’s Privacy Notice and the current list of Sub-processors.
Data Protection and Security:
Euverify.com will maintain administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of Client Data. These safeguards will include measures to prevent unauthorized access, use, modification, or disclosure of Client Data. Euverify.com will only access, use, modify, or disclose Client Data under the following circumstances:
(a) To provide the Services and address service or technical issues.
(b) As required by law.
(c) With the Client’s or User’s express written permission.
08. Fees & Payment
The use of Euverify.com services is subject to a Fee. When creating an Account, the Client must select a Plan, and different rates apply to different Plans. The applicable Fee is charged either through a pay-as-you-go model or via an annual subscription, depending on the selected Plan.
Euverify.com reserves the right to modify the Fees for any Plan at its discretion, with at least one month’s prior notice to the Client. Any Fee modifications will only take effect at the start of the Plan immediately following the Plan Term in which Euverify.com provided notice of the change.
By signing up, the Client authorizes Euverify.com to automatically charge the applicable Fees on or after the Renewal Date, unless the Plan has been cancelled or terminated in accordance with these Terms. Clients may cancel their Plan at any time as outlined below, but must do so prior to the Renewal Date to avoid being billed for the next Plan Term. If a Client cancels their Plan during the Plan Term, they may continue to use the Services until the end of the current Plan Term, but no refund will be issued for the Fees already paid.
All Fees are non-refundable. For clarity, no refunds or credits will be issued for periods when the Client did not use an activated Account, used it only partially, deactivated the Account, or terminated these Terms during an ongoing payment period. Additionally, no refunds will be provided if an Account is terminated or suspended by Euverify.com in accordance with the Termination policy.
09. Cancellation Policy
Clients may cancel their Plan at any time as outlined in these Terms; however, cancellations must be made prior to the Renewal Date to avoid being billed for the next Plan Term. If a Client cancels their Plan during the Plan Term, they may continue to use the service until the end of the current Plan Term, but no refund will be issued for any Fees already paid, whether for the most recent or any prior payments.
Non-Refundable Fees: All Fees are non-refundable. For clarity, no refunds or credits will be provided for periods during which the Client did not use an activated Account, used the Account partially, deactivated the Account, or terminated these Terms during an ongoing payment cycle. Additionally, no refunds will be granted if the Account is terminated or suspended by Euverify.com in accordance with our Termination Policy.
Right to Suspend or Cancel: Euverify.com reserves the right to suspend or cancel a Client’s subscription without notice if the Client violates the Terms and Conditions or engages in abusive or inappropriate behavior on the platform. After cancellation, the Client may lose access to certain or all features, data, or content associated with their account. It is the Client’s responsibility to export or retrieve any data they wish to retain before the cancellation takes effect.
Disputes and Chargebacks: In the case of disputes or chargebacks initiated by Clients with their payment providers, Euverify.com reserves the right to suspend the Client’s account until the issue is resolved. The Client will be responsible for any chargeback fees incurred by Euverify.com.
Policy Modifications: Euverify.com reserves the right to modify or update this Cancellation Policy at any time. Clients will be notified of any changes through email or an announcement on the website. By continuing to use the Services after a policy update, Clients agree to be bound by the revised cancellation terms.
10. Client Data & Sensitive Information
With respect to Client Data, the Client affirms, represents, and warrants the following:
(i) The Client either owns the Client Data or possesses the necessary licenses, rights, consents, and permissions to use and authorize Euverify.com to display or otherwise use the Client Data under all applicable patent, trademark, copyright, trade secret, or other proprietary rights, in line with the intended features of the Euverify.com Services and these Terms.
(ii) (ii) The Client Data, or Euverify.com’s or any Euverify.com licensee’s use of such Client Data pursuant to these Terms, will not infringe, violate, or misappropriate any third-party rights, including but not limited to copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; will not violate any applicable law or regulation; and will not require Euverify.com to obtain licenses or pay fees/royalties to any third party, unless otherwise agreed upon.
The Client is solely responsible for its own Client Data and the consequences of posting or publishing it on or through Euverify.com Services. By uploading Client Data to the Euverify.com Services, the Client authorizes Euverify.com to process the Client Data. The Client must ensure that:
- Neither the Client nor its Users create, transmit, display, or make available any Client Data that violates these Terms, infringes Euverify.com’s or other users’ rights, or breaches applicable laws.
- The Client Data is not harmful, offensive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or otherwise unlawful.
- The Client and all Users associated with the Account have the necessary rights to use and process the Client Data through Euverify.com Services.
Euverify.com does not guarantee the accuracy of any information contained in Client Data and advises Clients to carefully consider the content posted or transmitted through Euverify.com Services. The Client acknowledges that it is entirely responsible for all Client Data uploaded, posted, transmitted, or otherwise made available, and for any remedial actions taken by Euverify.com or other users in response to such data.
Sensitive Information and Unlawful Client Data:
The Client must not process (a) Sensitive Information, or (b) Client Data that is unlawful or violates these Terms. Euverify.com is not required to pre-screen, monitor, or filter Client Data but reserves the right to take appropriate actions if it reasonably believes that Client Data is unlawful or contains sensitive information. These actions may include notifying the Client, denying the use of the Client Data in the Euverify.com Services, or removing/restricting access to such Client Data.
The Client acknowledges that Euverify.com Services are not designed for the processing of Sensitive Information. The Client agrees not to use the Services for such purposes, and Euverify.com disclaims any liability resulting from the Client’s use of the Services to process sensitive information.
Aggregated Data Use:
Euverify.com may use Client Data in aggregated or anonymized formats for research, educational, or similar purposes. Euverify.com will not use or publicly display Client Data without the Client’s written consent and will respect the Client’s exclusive ownership of Client Data. However, the Client grants Euverify.com the right to use and analyze aggregated system activity data associated with the Client’s and its Users’ use of Euverify.com Services to optimize, improve, and enhance the Services.
11.Privacy

12.Intellectual Property
All intellectual property rights related to the Euverify.com platform, including but not limited to software code, designs, trademarks, logos, and content, are and will remain the exclusive property of Euverify.com or its licensors. Clients are granted a limited, non-exclusive, non-transferable right to access and use the Euverify.com platform solely for their internal business purposes during the term of their subscription.
All intellectual property rights in and to the technology, software, tools, processes, and systems used or provided by Euverify.com (the “Software”) in connection with its services are solely owned by Euverify.com. No ownership rights are transferred to the Client through these Terms & Conditions or by using the services.
Euverify.com warrants that it holds all rights, title, and interest in and to the Software and has the authority to use, license, and sublicense the Technology as set forth in these Terms &
Conditions. By using the services, Clients acknowledge and agree that no third party has any claim to ownership of the Software.
Client Data Ownership
Clients retain full ownership rights to any data, information, or content they upload or input into the Euverify.com platform. Euverify.com does not claim ownership of Client Data. However, by using the Euverify.com platform, Clients grant Euverify.com a worldwide, royalty-free license to use, host, store, reproduce, modify, and display the Client Data as necessary to provide the services outlined in this agreement.
Euverify.com will take reasonable measures to protect the confidentiality and security of Client Data. Euverify.com will not disclose, sell, or distribute Client Data to third parties, except as required by law or to provide the services.
Restrictions on Use
Clients agree not to reproduce, modify, distribute, or create derivative works based on the Euverify.com platform or any part thereof. Clients are prohibited from reverse engineering, decompiling, or attempting to extract the source code of the platform or any related software. Unauthorized use or infringement of Euverify.com’s intellectual property rights may result in termination of the Client’s access to the platform and may be subject to legal action.
Feedback and Suggestions
Clients may provide feedback, suggestions, or ideas related to the Euverify.com platform. Any such feedback or suggestions provided by Clients shall become the exclusive property of Euverify.com. Clients hereby assign all rights, titles, and interests in such feedback or suggestions to Euverify.com.
Third-Party Intellectual Property
Euverify.com respects the intellectual property rights of third parties. If a Client believes that any content or materials on the platform infringe upon their intellectual property rights, they must notify Euverify.com promptly. Euverify.com may take appropriate actions, including removing infringing content or terminating user accounts, as necessary.
13. Disclaimers; No Warranty
Unless explicitly stated by Euverify.com, the Euverify.com Services, Materials, Platform, and any content or features made available through the Euverify.com Services are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied. To the fullest extent permitted by law, Euverify.com and its affiliates disclaim all warranties, whether statutory, express, or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement of proprietary rights, correctness, accuracy, and reliability.
Unless explicitly stated otherwise, Euverify.com and its affiliates do not warrant that the Euverify.com Services or any content or features available through the platform will be uninterrupted, error-free, or that defects will be corrected. Euverify.com does not guarantee that the platform or services are free of viruses or other harmful components.
Euverify.com makes no representations or warranties regarding the use or the results of the use of the platform, services, or materials provided, in terms of accuracy, reliability, or otherwise.
If the laws of certain countries or states do not allow limitations on implied warranties or the exclusion or limitation of certain damages, some or all of the above disclaimers, exclusions, or limitations may not apply to Euverify.com, and the Client may have additional rights as prescribed by law.
14.Indemnification
The Client agrees to defend, indemnify, and hold harmless Euverify.com and its affiliates, as well as their respective directors, officers, employees, and agents, from any claims, losses, damages, liabilities, costs, and expenses (including attorneys’ fees), arising from:
- The Client’s use or misuse of the Euverify.com Services and Materials.
- Representations made to Euverify.com, its affiliates, or third parties.
- Violation of these Terms.
- Violation of the rights of any other person or entity.
- Any breach of the representations, warranties, or covenants made by the Client in these Terms.
Euverify.com reserves the right, at its own expense, to assume exclusive defense and control of any matter for which the Client is required to indemnify Euverify.com, and the Client agrees to cooperate with Euverify.com in such defense.
15. Termination
These Terms and the Client’s access to Euverify.com Services may be terminated under the following conditions:
- By the Client: The Client may terminate their access at any time by clicking the cancellation link on the website.
- By Euverify.com: Euverify.com may terminate its provision of any portion of the Services, a specific feature, or part of the platform.
- By Euverify.com for Convenience:Euverify.com may terminate access at any time and for any reason, with a pro-rata refund for any unused Fees for the remainder of the Client’s Plan Term.
- Mutual Termination:Either party may terminate immediately if the other party undergoes liquidation, insolvency proceedings, settles with creditors, or makes an assignment for the benefit of creditors.
Termination for default occurs upon written notice if:
- Either party breaches these Terms, and the breach remains uncured within 30 days of receipt of notice.
- Immediate termination by either party if the other party violates Sections on “Restrictions,” “Client Data/Sensitive Information,” “Intellectual Property Rights,” or “Indemnification.”
- By Euverify.com:With immediate effect if (i) the Client’s use of the Services is suspected of being illegal, (ii) there are legal or governmental requests for termination, or (iii) the Client’s use endangers the platform or property of others.
Upon termination:
- Account Deactivation and Deletion:Euverify.com will deactivate and permanently delete the Client’s Account and Data within six months of termination unless the Client requests earlier deletion, in which case deletion will occur within one month.
- Client’s Responsibilities:The Client must cease using the Euverify.com Services, prevent further access, pay any outstanding amounts, and fulfill any prior liabilities.
- Refunds:No refunds will be provided for prepaid Fees unless explicitly stated in these Terms.
Suspension of Services:
Euverify.com reserves the right to suspend access to all or part of the Euverify.com Services, including removing content, for reasons such as violations or suspected violations of these Terms, legal obligations, or excessive bandwidth usage. Suspension can take effect immediately, with or without prior notice, although Euverify.com will typically provide notice through banners or emails. Suspension is tailored to maintain the integrity, security, and operability of the platform. Refunds or credits for suspended services will be determined at Euverify.com’s discretion, considering legal obligations and risk management.
16.General
The relationship between the Client and Euverify.com is that of independent contractors. These Terms do not create an agency, partnership, joint venture, fiduciary duty, or any other legal relationship between the parties. The Client shall not represent otherwise, whether explicitly or by implication. These Terms are not intended to benefit any third parties.
If any provision of these Terms is found to be invalid, unenforceable, or illegal, that provision will be enforced to the maximum extent permissible to reflect the parties’ intentions, and the remaining provisions will remain in full force and effect.
These Terms represent the entire agreement between the Client and Euverify.com regarding the use of Euverify.com Services, Materials, and the Platform. They supersede any prior or contemporaneous agreements, proposals, or representations, whether written or oral, relating to the subject matter. No modification, amendment, or waiver of any provision of these Terms will be effective unless it is in writing and signed by the party to be bound by it.
The Client may not assign, transfer, or delegate any rights or obligations under these Terms, either in whole or in part, without the prior written consent of Euverify.com. Any attempt to do so without such consent will be void and unenforceable. However, the Client or its permitted successors may assign or transfer these Terms without consent in the following cases:
- To any entity controlled by, or under common control with, the Client or its permitted successors.
- In connection with a merger, reorganization, transfer, sale of assets, or change in control of the Client or its permitted successors.
Euverify.com may freely assign or transfer these Terms or delegate its rights and obligations without restriction.
Failure by either party to enforce any provision or exercise any right under these Terms will not be deemed a waiver of future enforcement of that provision or right.
Except as otherwise provided in these Terms, all notices must be in writing and will be effective when: (a) personally delivered, (b) sent two business days after mailing, or (c) sent by email (except for termination or indemnity claims, which must be clearly identified as “Legal Notices”). Billing-related notices will be sent to the Client’s designated billing contact, and all other notices will be sent to the Client’s system administrator.
